Terms of Service

These Terms of Service ("Terms") are an agreement between AdeptAds, Inc. ("AdeptAds", "we", "us") and the person or organization using our websites, applications, and related services (the "Services"). By creating an account, purchasing a subscription, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

The Services are intended for business and professional advertising use. A separately signed agreement controls over these Terms to the extent of a conflict. Nothing here limits rights or remedies that applicable law does not permit us to exclude.

1. Accounts and authority

• You must be at least 18 and legally able to enter this agreement. If you act for a business or client, you represent that you have authority to bind that organization and authorize the requested advertising activity.
• Provide accurate account and billing information, protect your credentials, and promptly tell us about suspected unauthorized access. You are responsible for your authorized users and activity under your control.
• Agencies and other representatives must maintain the permissions, client agreements, and consents needed to connect accounts, supply data, create assets, and incur advertising charges on a client's behalf. Your obligations to AdeptAds do not depend on whether your client pays you.

2. Platform connections, agents, and publishing

Connecting an advertising account and initiating a workflow authorizes AdeptAds and its service providers to access and process the account information needed for that workflow and perform the supported actions you request or enable.

• Campaign creation includes publication. Submitting a campaign authorizes agents to research, generate copy and assets, create campaign resources, and publish them to the connected Google Ads account. A separate approval of every generated asset is not required.
• Autopilot can make changes automatically. Enabling it authorizes supported optimization actions according to your selected settings and schedule. Available actions vary by channel, bidding strategy, and management mode.
• Approvals apply to specific actions. Expansion proposals require approval before execution. Optional budget-change approval settings do not create an approval requirement for every other action or for initial campaign publication.
• You are responsible for the accuracy of your instructions, account selection, budget, targeting, destination pages, and permissions. Monitor task results, activity, and the connected advertising account, and correct or pause unsuitable work.

Disabling Autopilot, disconnecting an account, cancelling your subscription, or closing the browser does not undo published changes or automatically stop existing ads. Manage campaign status directly in Google Ads when you need to stop advertising. Work already in progress may not stop immediately.

You can revoke our access through the connected platform's permissions. Revocation may prevent workflows from completing, including changes needed to finish or correct earlier work. Partial execution may leave resources already published; review the result before submitting a duplicate request.

3. Advertising spend and platform responsibility

Your advertising platform bills media spend separately from AdeptAds fees. You are responsible for charges resulting from campaigns and changes you authorize through the Services, including automatic actions within your enabled settings. Your subscription price is not a cap on advertising spend.

Budgets, bidding, pacing, and delivery operate under the advertising platform's rules. A daily budget or forecast is not a promise of a strict daily charge limit or a particular outcome. Review the platform's billing controls and actual spend. We do not control its auctions, billing decisions, policy review, account restrictions, or service availability.

You remain responsible for your products, offers, advertising claims, landing pages, targeting, and compliance with applicable law and advertising-platform policies. AdeptAds is an independent service, not Google or a guarantor of platform approval.

4. Acceptable use

• Do not use the Services for unlawful, deceptive, discriminatory, infringing, or otherwise prohibited advertising; impersonation; unauthorized collection of personal information; or attempts to evade platform enforcement.
• Do not submit content or data you lack the rights or consents to use. Do not submit passwords, payment-card details, sensitive personal information, or regulated data through campaign briefs or general support fields.
• Do not bypass usage limits, abuse trials, resell access except as agreed in writing, interfere with the Services, introduce malicious code, or access another customer's data.
• Do not reverse engineer the Services except where applicable law expressly permits it despite this restriction, or use them to build a competing service through unauthorized extraction of our software or proprietary materials.

We may investigate suspected violations and restrict affected workflows to protect the Services, customers, and third parties.

5. Customer data and permissions

"Customer Data" includes the materials, briefs, website content, account information, and advertising data you submit or authorize us to access. As between you and AdeptAds, you retain your rights in Customer Data.

You grant us a non-exclusive, worldwide license to host, copy, process, transmit, and adapt Customer Data as needed to provide, secure, maintain, and support the Services and carry out your authorized instructions, including sharing necessary information with service providers and connected platforms. This permission does not authorize unrelated resale or reuse of your campaign materials.

You represent that you have the rights and lawful basis needed for that processing, including client permissions and rights in brands, images, testimonials, and destination content. We do not undertake to verify those rights for you.

We do not use your Customer Data to train general-purpose AI models or disclose it to other customers. AI providers process relevant inputs to supply the features you request. Google-sourced data remains subject to applicable Google data-use restrictions; the service license above does not override them.

6. Privacy and confidentiality

The Privacy Policy describes our handling of personal information. Where we process personal data on your behalf, an applicable written data processing agreement governs that processing and takes precedence on that subject.

Each party will use reasonable care to protect the other's non-public information identified as confidential or reasonably understood to be confidential, use it only to perform or enforce this agreement, and disclose it only to people or providers who need it for that purpose and are subject to appropriate confidentiality duties. These duties do not cover information independently developed, lawfully received without restriction, or publicly available without a breach. Legally required disclosures are permitted, with notice where lawful.

7. Subscriptions, billing, and cancellation

• Charges and renewal. The plan, price, billing interval, included usage, and any trial conditions presented when you subscribe govern your purchase. Paid subscriptions renew automatically for the selected interval until cancelled. You authorize recurring charges to your selected payment method, including applicable taxes.
• Trials. Eligibility, duration, and included usage are shown in the offer. A trial without a payment arrangement may expire and restrict access. If you authorize a paid subscription or trial conversion, charges follow the terms shown at that step. We may restrict duplicate or abusive trials.
• Cancel from the dashboard. Use Settings → Subscription to cancel and check the confirmation for its effective date. Cancellation normally stops renewal at the end of the paid period; immediate cancellation, where selected, ends access earlier. Contact us if the control is unavailable. Simply stopping use or disconnecting Google Ads does not cancel your subscription.
• Refunds. Except where required by law, expressly stated in the offer, or agreed by us in writing, fees are non-refundable and we do not provide prorated refunds for unused time, unused usage, or disappointing advertising results. This does not limit a right to dispute an unauthorized or incorrect charge.
• Usage and changes. Credits and allowances are service-use entitlements, not money or stored value; they are not redeemable for cash. Allocation, resets, and any carry-over follow the selected plan. Plan-change charges or credits follow the confirmation shown when you make the change. We will notify you of recurring price changes before they apply so you can cancel before renewal.
• Failed payments. We may restrict or suspend paid features when payment is overdue. You remain responsible for undisputed accrued fees and applicable taxes other than taxes on our net income.

8. Intellectual property and AI output

AdeptAds and its licensors retain rights in the Services, software, workflows, designs, documentation, and underlying technology. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your business during the applicable service period.

As between you and AdeptAds, and to the extent permitted by law, you own the campaign output created for you, excluding our pre-existing materials and third-party materials. We assign to you any rights we may have in that output, subject to those exclusions. This does not guarantee that AI-generated material is copyrightable, unique, accurate, or free of third-party rights. Other users may receive similar output.

You are responsible for evaluating output and securing permissions necessary for its use. Do not rely on generated claims, trademarks, likenesses, or licensed materials without appropriate review. Feedback you voluntarily provide about the Services may be used without restriction or compensation, excluding your confidential information and personal data.

9. Third-party services and beta features

The Services depend on third-party platforms, AI providers, and infrastructure. Their terms apply to your use of their services, and they may change, suspend, or limit functionality. We may adapt or discontinue integrations when needed. We are not responsible for third-party services we do not control.

Beta, preview, experimental, and free features may be changed or withdrawn at any time and are provided for evaluation without a service-level commitment. Their output and behavior may vary as models and capabilities change.

10. Service disclaimers

To the maximum extent permitted by law, the Services and AI output are provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties arising from course of dealing or usage of trade.

We do not warrant uninterrupted or error-free operation, complete or accurate output or logs, error-free security, ad approval, or any particular spend efficiency, return on ad spend, conversions, revenue, or other business result. Examples, forecasts, recommendations, and past results are not guarantees.

There is no uptime guarantee or service-credit entitlement unless expressly included in a separately signed agreement. Information produced by the Services is not legal, financial, or regulatory advice.

11. Limitation of liability

To the maximum extent permitted by law, AdeptAds, its affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, business opportunities, or data, arising from the Services, regardless of the legal theory and even if advised of the possibility.

Our combined aggregate liability arising out of or relating to the Services or these Terms will not exceed the fees you paid to AdeptAds for the Services in the 12 months before the event first giving rise to the claim. Advertising spend and other third-party charges are not fees paid to AdeptAds. Multiple claims do not increase this aggregate cap.

To the same extent permitted by law, we are not liable for advertising-platform charges arising from your authorized instructions or enabled settings, platform policy decisions, account suspensions, or changes you or third parties make outside the Services. The liability cap applies to other claims concerning the Services, including security and data claims, where legally permitted.

These limitations do not exclude liability for fraud, willful misconduct, or any other liability that cannot lawfully be limited. Mandatory statutory rights and any expressly negotiated terms remain unaffected.

12. Customer indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless AdeptAds, its affiliates, and their personnel from third-party claims, damages, and reasonable legal costs arising from your Customer Data, your products or advertising claims, your lack of required client authority or permissions, or your unlawful use of the Services or material breach of these Terms. This obligation does not cover a claim to the extent caused by our own breach, negligence, or willful misconduct.

We will give you reasonably prompt notice of a covered claim and reasonable cooperation at your expense. You may control its defense with qualified counsel, but may not admit fault on our behalf or impose non-monetary obligations without our written consent. We may participate with our own counsel at our expense.

13. Suspension and termination

We may suspend or terminate access for non-payment, material breach, suspected abuse, security risk, or legal or platform requirements. Where practical, we will notify you and allow a reasonable opportunity to resolve the issue; urgent protective action may be immediate.

You may cancel your subscription or request account deletion. Account deletion can end service and billing immediately and is different from cancellation at period end. Accrued charges remain payable. Published campaigns may continue to run and incur platform charges after either action.

Keep copies of materials you need. You may request reasonable assistance obtaining available Customer Data before access ends, subject to technical feasibility and legal restrictions. We do not promise indefinite storage or a particular export format. Retention and deletion are described in the Privacy Policy. Payment, ownership, confidentiality, disclaimers, liability, indemnity, and dispute provisions survive as needed to give them effect.

14. Changes and notices

We may update the Services and these Terms. We will publish the revised version and its date, and provide reasonable advance notice of material changes through the Services or your account email, except where a more immediate change is needed for law, security, or abuse prevention. Changes apply prospectively. Where fresh consent is legally required, we will seek it; otherwise, continued use after the effective date constitutes acceptance.

Maintain a current account email for billing, security, and contractual notices. If you do not agree to revised Terms, stop using the Services and cancel before they take effect. A change will not retroactively remove rights already accrued.

15. Governing law and general terms

These Terms are governed by Delaware law, excluding its conflict-of-law rules. Subject to any mandatory rights to another law or forum, the state and federal courts located in Delaware have exclusive jurisdiction over disputes, and each party consents to that jurisdiction.

These Terms and any applicable order or signed agreement form the entire agreement regarding the Services. A waiver must be in writing; failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions continue to apply. You may not assign this agreement without our written consent. We may assign it in connection with a merger, reorganization, or sale of the relevant business, subject to applicable privacy and data-transfer requirements.

Neither party is liable for delay caused by events beyond its reasonable control, except that accrued payment obligations remain due. This agreement does not create a partnership, employment relationship, or general authority for either party to bind the other beyond the specific service actions authorized here.
